End-User License Agreement (EULA)

EULA stands for the End User License Agreement, and it applies to the Loupe Tab Chrome Extension.

You agree to the following terms and conditions by downloading and utilizing the Loupe Tab Chrome Extension (the "Software") in the following ways:

Authorization to Operate. You are granted a license to use the Software in accordance with the terms of this End User License Agreement (EULA), and no other usage is permitted. You are granted by the Company a restricted license to use the Software on a single device, only for your own personal, non-commercial use. This license is not exclusive and cannot be transferred to another party under any circumstances.

Restrictions. You are not permitted to reverse engineer, decompile, or disassemble the Software, unless such activity is expressly permitted by the applicable law in the jurisdiction in which you are located. The Software may not be rented, leased, borrowed, sold, resold, redistributed, or sublicensed in any way. You are not permitted to use the Software for any kind of business activity.

The ownership of intellectual property. The Company owns the Software as well as all intellectual property rights that are associated with the Software. These rights are safeguarded by copyright, trademark, and other applicable laws. This End User License Agreement (EULA) does not grant you any rights that are not explicitly reserved by the Company.

There is no warranty. The software is distributed on an "AS IS" basis, which means that there is no warranty of any kind, either express or implied, including, but not limited to, any implied warranties of merchantability or fitness for a particular purpose. The Company makes no guarantee that the Software will fulfill your requirements or that the functioning of the Software will be uninterrupted or error-free. Neither of these two conditions is guaranteed by the Company.

Limitation of Responsibility or Liability In no event shall the Company be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of the use of or inability to use the software by "Authorized Users," even if the Company has been advised of the possibility of such damages. This provision applies whether or not the Company has been advised of the possibility of such damages. The Company will not be held liable under any circumstances for the loss of data or for any indirect, special, incidental, or consequential damages (including lost profit), or other damages, regardless of whether the damages are the result of a breach of contract, negligence, or any other legal theory. The Company shall have no liability with regard to the content of the software or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights, or the disclosure of confidential information. Moreover, the Company shall not be liable for the disclosure of confidential information.

Termination. This end-user license agreement is active until it is canceled. If you do not comply with any of the terms outlined in this EULA, then your rights under this EULA shall expire immediately and without any further communication from the Company. In the event that this End User License Agreement is terminated for any reason, you are required to immediately stop using the Software in any capacity and remove all copies of the Software from your device.

Legislation That Governs This end-user license agreement (EULA) will be governed by the laws of the United States and the State of California, irrespective of any terms that may conflict with those laws.

Entire Agreement. This End User License Agreement (EULA) constitutes the entire agreement between you and the Company regarding the use of the Software, and it takes precedence over any and all prior or contemporaneous communications and proposals, whether oral or written, that were exchanged between you and the Company.

Acknowledgment. You acknowledge that you have read this End User License Agreement (EULA), that you understand it, and that you agree to be bound by its terms and conditions by the fact that you are using the Software.
